For most UAE companies with a 31 December year-end, 30 September 2026 is the deadline to file and pay the 2025 corporate tax return. If you are not registered, have not elected Small Business Relief, or still have messy books, that date arrives faster than it looks.
This article explains who must register for UAE corporate tax, the 0% / 9% rates, Small Business Relief (available only until 31 December 2026), and how to file on time through EmaraTax.
RBO handles corporate tax in the UAE from registration through return filing for mainland and free-zone companies.
What is UAE corporate tax?
Corporate tax is a federal tax on taxable income. It is separate from 5% VAT. VAT looks at invoices and imports. Corporate tax looks at your accounting profit, then applies FTA adjustments (disallowed expenses, exemptions, reliefs, and transfer-pricing rules where they apply).
You cannot prepare a reliable return from bank statements alone. You need IFRS-style financials, or at least a clean trial balance. That is why bookkeeping and accounting and tax filing belong together.
UAE corporate tax rates in 2026
Infographic: UAE Corporate Tax Profit Brackets (0% up to AED 375,000 & 9% above) and Small Business Relief Overview
| Taxable income / situation | Rate |
|---|---|
| First AED 375,000 of taxable income | 0% |
| Taxable income above AED 375,000 | 9% |
| Qualifying Free Zone Person – qualifying income (conditions met) | 0% |
| Small Business Relief (revenue up to AED 3 million) – last periods ending on or before 31 December 2026 | Taxable income treated as nil if the election is valid |
Large multinational groups in the Pillar Two scope can face a different 15% minimum-tax outcome. That is not the typical SME position.
Who must register for corporate tax?
Almost every UAE juridical person must register with the FTA – mainland LLCs, free-zone companies, and most other corporate entities. Low revenue does not remove the registration duty. Small Business Relief is a return-level election, not a reason to skip EmaraTax registration.
Natural persons carrying on a business in the UAE generally look at a turnover test (more than AED 1 million in a calendar year). The company analysis and the sole-proprietor analysis are different. Do not copy a friend’s conclusion.
Registration is submitted on EmaraTax and is free. Late registration currently attracts a AED 10,000 administrative penalty.
If you still do not have a corporate tax TRN, start with corporate tax registration.
The 30 September 2026 filing deadline
Corporate tax returns are due within nine months after the end of the tax period. Payment is due at the same time.
| Financial year-end | Tax period example | File and pay by |
|---|---|---|
| 31 December | 1 Jan 2025 – 31 Dec 2025 | 30 September 2026 |
| 31 March | 1 Apr 2025 – 31 Mar 2026 | 31 December 2026 |
| 30 June | 1 Jul 2025 – 30 Jun 2026 | 31 March 2027 |
Small Business Relief ends after 2026
Companies with revenue at or below AED 3 million may elect Small Business Relief for eligible periods, treating taxable income as nil. The relief is available until 31 December 2026. From 2027, those businesses compute corporate tax in the normal way (0% / 9% brackets, or free-zone rules if they qualify).
Use 2026 to get charts of accounts, related-party ledgers, and supporting documents in order. Relief does not excuse poor records if the FTA later asks questions.
Free zone companies: 0% is not automatic
A Qualifying Free Zone Person can have 0% on qualifying income only if the legal and substance conditions are met. Non-qualifying income is generally taxed at 9%. “We have a free-zone licence” is not enough.
If a bank, investor, or authority also wants audited statements, pair tax work with a free zone audit so the numbers in the return match the numbers in the financials.
What you need before you file
- Corporate tax registration completed (TRN active)
- Management accounts or draft financial statements for the tax period
- Fixed-asset register and depreciation policy
- Related-party list and, where relevant, transfer-pricing support
- Decision on Small Business Relief or free-zone qualifying status
- Bank reconciliations and an explained trial balance
RBO’s corporate tax return filing includes the computation, EmaraTax submission, and a short explanation of what you are paying and why.
Corporate tax vs VAT – both can be due this month
September is a busy FTA month for December year-end companies: corporate tax is due, and VAT still runs on its own cycle. VAT registration uses a AED 375,000 taxable-supplies threshold. Corporate tax registration does not use that same “wait until you are big enough” test.
If you are still unregistered for VAT, read VAT registration in the UAE (2026): thresholds, documents, and deadlines.
How to avoid a rushed September filing
- Lock the 2025 books now – no more “we will adjust it later” journals without evidence
- Separate personal drawings from company expenses
- Confirm revenue for Small Business Relief before you elect
- List related-party charges (rent, management fees, overseas HQ invoices)
- Give your accountant two weeks, not two days
